By creating a Respicite partner account or using our platform, you agree to these Terms of Use and all policies referenced here.
Eligibility & Registration
◉ Accounts are for counsellors, training companies, schools/colleges, or HR consultancies.
◉ You must provide accurate, current information and keep it updated.
◉ Accounts registered by automated methods are prohibited.
Permitted Use
◉ Use the website and portals only as allowed by these Terms and applicable laws.
◉ Access must be via official interfaces provided by Respicite.
Restrictions on Use
You agree not to:
◉ Access systems except through provided interfaces.
◉ Use automated means (scripts, crawlers) to access the service.
◉ Interfere with or disrupt the platform, servers, or networks.
◉ Copy, republish, sell, or resell any part of the platform, features, content, assessments, or reports.
◉ Misuse the platform or breach these Terms; you are responsible for resulting losses.
◉ Misrepresent your identity or affiliation.
Respicite may suspend or discontinue your access with or without notice if misuse is suspected.
Intellectual Property
◉ All platform software, assessments, reports, data models, trademarks, and related IP are owned by Respicite.
◉ No license is granted except limited use as expressly permitted.
◉ Unauthorized use or copying may result in legal action.
Delivery & Fulfilment
◉ Services are delivered electronically (partner portals, dashboards, secure links, email).
◉ If any physical component is supplied, a courier service with tracking will be used.
◉ No cash-on-delivery is available.
Service Changes
◉ We may update features, bundles, or pricing. ◉ Significant changes will be communicated; continued use indicates acceptance.

Support
Respicite provides structured support to all partners during business hours (Monday to Friday, 10:00 AM ‐ 6:00 PM IST).

Platform Usage Policy:
◉ The company distinguishes between the Platform License and the Infrastructure Maintenance & Support (IMS) required to host it. Platform license includes web-site and dashboard access. IMS Fees covers recurring hosting, automated backups, continuous monitoring, backend server-related issue resolution as well as customer support. For the 2025-2026 cycle, the Managed IMS fee is set at INR 7,499/- + GST, which includes dedicated technical and customer service support. SSL and Domain renewals remain separate and are the sole responsibility of the Partner. The Company reserves the right to revise IMS charges from time to time to reflect evolving infrastructure costs or statutory requirements.
◉ For partners who choose to maintain only the platform license and opt out of IMS Fees, access shall be transitioned to an unmanaged status. Under this status, technical and customer services shall be strictly unavailable. To account for the administrative handling and security compliance overhead of unmanaged environments, the purchase of new assessment codes for these accounts shall be set at a Standard Base Rate, currently INR 850/- + GST per code regardless of volume. This rate is subject to periodic revision to ensure operational cost recovery. As the platform is currently in a dedicated maintenance phase, no new features or bespoke customizations shall be provided for either tier.
◉ Failure to remit the annual IMS fee or maintain account activity through periodic code purchases will result in portal suspension. Restoring a suspended account requires a one-time Reactivation Charge (currently INR 2,500/- + GST) in addition to the full-year IMS fee. Continued use of the platform for more than 30 days following a suspension notice shall be deemed as a formal acceptance of these revised terms. To maintain system integrity, accounts remaining suspended and unresponsive for more than 90 consecutive days shall be classified as "Abandoned". Prior to permanent closure and data purging, the Company will provide a final 15-day notice to allow for data retrieval, after which all "Lifetime" code validity commitments shall be deemed fulfilled. The Company shall not be held liable for any data loss resulting from account closure due to such abandonment.
◉ The Company reserves the absolute right to discontinue platform services entirely by providing a 60-day written notice, irrespective of a Partner's payment status. In the context of all previous and existing plans, "Lifetime Validity" is explicitly defined as the operational lifespan of the platform while it remains commercially active and supported by the Company. This validity is contingent upon the platform's continued commercial existence and does not guarantee service in perpetuity or in the event of platform decommissioning. Upon the issuance of a discontinuation notice, all Company obligations regarding service availability and data hosting shall cease at the conclusion of the 60-day period.

Cancellations & Refunds
◉ Solutions are configured and delivered with your approvals and brand settings.
◉ Given the customized nature, cancellations and refunds are not offered.
◉ In exceptional cases, Respicite may attempt good-faith rectification within reasonable timelines.
Comments, Communications, and Content
If you submit ideas, feedback, or content:
◉ You confirm you own or control it and that it is not unlawful, defamatory, infringing, or malicious.
◉ You grant Respicite a non-exclusive, royalty-free, perpetual license to use it for improving services.
◉ No spam, impersonation, or malware is allowed.
Governing Law & Jurisdiction
These Terms are governed by the laws of India. Courts at Jaipur, Rajasthan shall have exclusive jurisdiction.
Changes to Terms
We may modify these Terms at any time by posting an updated version. Changes are effective upon posting; continued use constitutes acceptance.
Third-Party Links
Our website may link to external sites. Respicite is not responsible for their content, policies, or practices.
Limitation of Liability
Respicite will not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business.
Indemnification
You agree to indemnify Respicite against claims, losses, or liabilities arising from your misuse of the platform, breach of these Terms, or violations of law.
Privacy Policy (Summary)
